License Agreement

Overview

This License Agreement ("Agreement") governs your use of the Waitlyzt source code and associated materials ("Software"). By purchasing and accessing the Software, you agree to be bound by the terms of this Agreement.

License Grant

Subject to the terms of this Agreement and payment of the applicable license fee, Waitlyzt grants you a:

• Non-exclusive license (we may license to others)
• Non-transferable license (you cannot transfer to others)
• Non-sublicensable license (you cannot sublicense to others)
• Perpetual license (no expiration, subject to compliance)
• Worldwide license (valid in all jurisdictions)

The specific features and usage rights depend on the license tier you purchase.

License Tiers

Waitlyzt offers three license tiers, each providing different feature sets:

Permitted Uses

With your license, you MAY:

• Use the Software to create unlimited applications for yourself or clients
• Modify the source code to suit your project needs
• Deploy applications built with Waitlyzt commercially
• Use the Software for personal, educational, or commercial purposes
• Create end products (applications) for sale to end users

Restrictions

With your license, you MAY NOT:

• Redistribute the Software or any portion of it to third parties
• Resell the Software as a standalone product or boilerplate
• Sublicense the Software to others
• Create derivative boilerplates or starter kits for sale
• Share repository access with anyone not covered by your license
• Claim ownership of the original Waitlyzt code
• Remove or alter any copyright notices or license headers
• Use Waitlyzt branding to market your products as Waitlyzt
• Publicly share the source code (e.g., on GitHub, forums)

Delivery and Access

The Software is delivered via private GitHub repository access:

• Access is granted within 24 hours of purchase confirmation
• You must provide a valid GitHub username
• Repository access is tied to one GitHub account
• You may clone the repository for your own use
• Updates are provided through the same repository (duration varies by tier)

Updates and Support

• Starter: No guaranteed updates
• Professional: 6 months of updates from purchase date
• Enterprise: 12 months of updates + priority support

After the update period expires, you retain your existing license and code, but may not receive new updates. Extended support may be purchased separately.

Intellectual Property

Waitlyzt retains all ownership, copyright, and intellectual property rights in and to the Software. Your license grants you the right to use the Software, not ownership of it.

• The Waitlyzt name, logo, and branding remain our property
• Applications you build using Waitlyzt are your property
• Any feedback or suggestions you provide may be used by us without obligation

Termination

This license is perpetual unless terminated:

• By you: You may stop using the Software at any time
• By us: We may terminate if you breach this Agreement
• Effect: Upon termination for breach, your license ends and you must destroy all copies of the Software

Applications already deployed prior to termination may continue to operate.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR MEET YOUR SPECIFIC REQUIREMENTS.

Limitation of Liability

IN NO EVENT SHALL WAITLYZT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR YOUR LICENSE.

Refund Policy

All purchases are final and non-refundable. Due to the digital nature of the Software and immediate access upon purchase, refunds cannot be provided. Please review our Refund Policy for more details.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Entire Agreement

This Agreement constitutes the entire agreement between you and Waitlyzt regarding the Software and supersedes all prior agreements and understandings. Any modifications must be in writing.
